01. Acceptance of Terms

This website (https://redmine-online.com, hereinafter referred to as "the Site" or "Redmine Online") is operated by AxiomSpire LLC (hereinafter referred to as "we," "the Company," or "AxiomSpire"). These Terms of Service (“TOS”) govern your use of the Redmine Online platform, as well as the purchase of products developed by AxiomSpire or the subscription to our SaaS hosting services. If you do not agree to these terms, please do not use this Site or purchase any products/services.

02. Product License

  • Themes and Plugins: Products created by AxiomSpire are licensed under the GNU GPL. Support and customer accounts are available upon purchase.
  • No Commercial Resale: You may not resell the products on this Site as standalone products to third parties, nor integrate them into other commercially distributed hosting instances without permission.
  • SaaS Services: Subscribing to our SaaS service means you obtain the right to use a hosting instance maintained by the AxiomSpire technical team. You own the data uploaded to the instance but must comply with security and usage specifications.

03. SaaS Subscriptions and Auto-Renewal

  • Subscription Model: Our SaaS services are subscription-based. By subscribing, you authorize AxiomSpire LLC to automatically deduct payments through third-party payment platforms (such as Stripe/PayPal) at each billing cycle.
  • Cancellation: You may cancel your subscription at any time through the Redmine Online customer portal. After cancellation, the service will continue until the end of the current billing cycle and will not be renewed thereafter.

04. Refund Policy

  • Digital Products (Themes/Plugins): Due to the nature of digital products, once the download is complete, no refunds will be given unless the product is non-functional and technical support cannot resolve the issue.
  • SaaS Services: SaaS subscriptions provide a trial period (if indicated). Cancellation in the middle of a month after official deduction will not result in a pro-rated refund of the remaining balance for that month; services will be maintained until the end of that monthly cycle.

05. Product Compatibility and Warranty

We are committed to keeping themes compatible with the latest version of Redmine (currently supporting Redmine 4.1 and higher). We do not guarantee that products will work perfectly with all third-party plugins on the market. SaaS services strive for 99.9% stability, but we do not assume responsibility for compensation for downtime caused by force majeure.

06. Purchase Notice

Purchases made by any subject may be subject to VAT in the buyer's country/region, depending on local/EU VAT laws. Therefore, the buyer is solely responsible for obtaining all information about VAT in their country and has the obligation to pay VAT. AxiomSpire LLC is not responsible for any violations of VAT laws.

  • EU Private Person: No VAT obligation; the price is final.
  • EU Entrepreneur (with company reg. number, no VAT ID): Obliged to register for VAT in their country; the price is final.
  • EU Company (with valid VAT ID): Obligated to pay VAT in their country; reverse charge applies, so the price is without VAT.
  • Non-EU Subjects: No VAT obligations; the price is final.

All prices are in USD and are net prices. Digital product download links will be sent via email after you checkout. All invoices will be sent automatically within 14 days of the purchase by AxiomSpire LLC.

07. Customer Accounts

Customers are required to create a Redmine Online account when purchasing any of our products and/or services. They are responsible for maintaining the confidentiality of their password and are not permitted to share and/or distribute their account login details. Customers are fully responsible for all activities that occur under their account and agree to immediately notify Redmine Online of any unauthorized use of their account or any other breach of security. Redmine Online will not be liable for any loss or damage arising from customer failure to comply with these terms. Please note that Redmine Online requires all users to be over the age of 18 to have a customer account.

08. Emails

Redmine Online may occasionally send you emails related to the purchase of products from our company. We may also occasionally send you email newsletters relating to Redmine Online updates, promotions, and the like. We will never sell or release your email to any third-party vendors. You may opt out of these emails at any time without penalty.

09. Account Termination and Suspension

Redmine Online reserves the right to suspend and/or terminate any user account at its sole discretion without notice. No refunds will be provided to customers who have their accounts terminated. Examples of reasons for termination include:

  1. Abusive behavior and/or excessive negativity toward Redmine Online staff and/or other Redmine Online customers.
  2. Repeated defamatory, malicious, and/or false statements, including slander against AxiomSpire, and/or attempts to persuade potential customers away from purchasing Redmine Online products.
  3. Promoting competitor products, contributing to software piracy, hacking, spamming, or other illegal acts.
  4. Redmine Online reasonably believes that your account has been compromised, shared with others, or for other security reasons.

10. Software Ownership

Customers may not claim intellectual or exclusive ownership of any of our products, modified or unmodified. All products are the property of AxiomSpire LLC.

11. Product Delivery

After we have successfully received customer payment, their Redmine Online customer account login information will be emailed to the email address provided during signup. This usually happens within 5-10 minutes.

12. Price/Product Changes

AxiomSpire reserves the right at any time to modify and/or discontinue a product with or without notice. Further, we may add new products and/or services with or without notice. Prices of any products are subject to change at any time by posting the changes to the Redmine Online website.

13. Business Use of Our Goods and Services

If you are using our services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify AxiomSpire LLC and its affiliates, officers, agents, and employees from any claim, suit, or action arising from or related to the use of the goods or services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs, and attorneys’ fees.

14. Liability for Our Products and Services

When permitted by law, AxiomSpire LLC, and AxiomSpire LLC's suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages. To the extent permitted by law, the total liability of AxiomSpire LLC, and its suppliers and distributors, for any claim under these terms, including for any implied warranties, is limited to the amount you paid to AxiomSpire LLC to use AxiomSpire LLC's goods and/or services. In all cases, Redmine Online, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.

15. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the United States (our LLC registration state, Wyoming). Any disputes arising from these terms shall be resolved in the competent courts of that state.

16. Other

Other Guidelines or Terms. If there is a conflict between this TOS and those for a specific Redmine Online service, the terms for the specific service will prevail.
